The corporate paralegal will be the liaison between BioSpectra employees and external legal counsel.
Essential Duties and Responsibilities: Maintain database of customer and vendor agreements, contracts, leases, nondisclosure agreements, non-compete agreements, supply agreements, etc.
This database will include who is it with, what it is for, when will it expire, who at BioSpectra needs to know and how far in advance to notify of expirations.
This database along with copies of the documents will be stored on the shared files directory (S:) with access provided to the necessary individuals.
Maintain database of all insurance policies.
Maintain database of all companies, properties, attorney contact information, and insurance policy information and insurance contact information.
Review all new agreements and contracts for all departments and be the internal contact with BioSpectra's external legal counsel and insurance contacts to confirm a timely delivery.
Drafting legal contracts, correspondence and other documents as directed to by the senior leadership team.
These documents will be submitted to external legal counsel for review.
Draft contracts, such as employment contracts and non-compete agreements.
These documents will be submitted to external legal counsel for review.
Draft yearly tenant leases with external counsel review.
Assist in the preparation of all documents required to form business entities; filing and managing of business formation documents.
Assists in implementing changes to contracts to comply with legislation/regulations.
Assist with paperwork needed by regulatory bodies and/or assist with any changes in ordinances, mandates, etc.

Respond to Requests for Information.
Assist with ethics and compliance programs.
Perform legal research.
Responsible for support related to litigation, mediation, arbitration and responses to complaints.
Renewing and maintaining company licensing.
Create and distribute annual reports.
Qualifications: BS/BA degree; paralegal certification or equivalent knowledge required.
Minimum of three years' experience working as a corporate paralegal in either a law firm or corporate setting.
Minimum of three years’ experience supporting attorneys drafting and reviewing legal agreements, contracts, and correspondence.
Minimum of three years’ experience supporting attorneys with real estate transactions including purchases and tenant leases.
Confidentiality is a must.
Attention to detail with strong organizational, prioritization, interpersonal and administrative skills.
Proficient in Microsoft Office Products (Outlook, Word, PowerPoint and Excel).
Ability to manage multiple tasks and use logical thinking to meet company objectives.
Strong communication skills, both written and verbal as well as familiarity with legal terminology.
Ability to operate a telephone, multi-function printer/copier, calculator as well as various other office equipment.
Must be able to handle multiple tasks and prioritize as needed.
Must produce work in a timely and consistent fashion, while maintaining a high level of accuracy and accountability.
Must present a professional appearance and demeanor at all times and have the ability to interact with staff (at all levels of the organization), visitors, vendors and others via telephone, email and personal contact.
Physical Requirements: Lift up to 20 lbs.
